1. Purpose of this Page
These Terms of Use ("Terms") govern your access to and use of the platform operated by Noises Crew UG (haftungsbeschränkt) (doing business as Exibeat). They explain your rights, responsibilities and the rules for interacting with our platform as a DJ, Producer or user.
2. Eligibility
By using Exibeat, you confirm that:
- You are at least 18 years old or the legal age in your country
- You are voluntarily providing your own contact information
- You have the legal right to upload and share the music files you submit
3. Account & Roles
- You may register as a "Producer" to upload tracks, or as a "DJ" to discover, download or request tracks.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
- Exibeat may suspend or terminate your account at its discretion for violations of these Terms or applicable law.
User Conduct & Community Guidelines
Users must:
- Be respectful in interactions.
- Use Exibeat professionally to promote, sell, download and purchase music.
- Report violations to Customer Support.
Prohibited actions include:
- Harassment, Hate Speech, or Threats (e.g., racism, sexism, bullying).
- Spam & Scams (e.g., fake accounts, misleading offers).
- Copyright Violations (e.g., unauthorized uploads).
- Fraudulent Transactions (e.g., chargeback abuse, fake purchases).
Exibeat may review, restrict, or remove content that violates these guidelines and take action, including warnings, content removal, or account suspension.
4. Uploading & Licensing (Producer)
- You retain full ownership of the tracks you upload. By uploading, you grant Exibeat a non-exclusive, royalty-free licence to host, stream and make available your tracks on the platform so long as they remain active.
- DJs you submit to may download or stream your tracks for evaluation or performance; redistribution or resale outside Exibeat is prohibited.
- You warrant that you own all rights (or are duly licensed) to upload, distribute or sell your content.
Unreleased Tracks Uploaded During Onboarding.
If you access Exibeat through an invitation link and upload unreleased tracks during the onboarding process, these tracks are saved privately to your personal library and are not visible or accessible to any other user until your profile is fully completed. If you do not complete your profile, the tracks remain stored securely in our system for up to 90 days, after which they are permanently deleted if onboarding is not completed.
5. Downloading & Usage (DJ)
- DJs may download tracks submitted to them by Producers for evaluation, performance use, and personal library.
- Downloads may be free or paid as set by the Producer.
- Redistribution, resale or sharing of the downloaded files with third parties is prohibited.
6. Payment, Fees & Refunds
- All payments are processed by trusted third-party payment providers (e.g., Stripe, PayPal) under their own terms.
- Producers receive payouts for track sales, minus Exibeat's platform commission (currently 20% unless otherwise stated).
- Purchases of digital tracks are non-refundable once the download link is provided and the file accessible, unless the file is unavailable or technically defective.
- Account wallet balances will be refunded upon account closure after verification, within 14 days.
7. Communication
By registering an account, you agree that Exibeat may send you:
- Service communications (mandatory): account notices, payment confirmations, security alerts, and other essential information needed to use the platform. You cannot opt out of these.
- Optional updates (marketing): product news, early access invites, feature updates, or promotional content. You may opt out of these at any time by clicking "unsubscribe" in the email or contacting us via our Customer Support.
8. Intellectual Property
- Exibeat does not claim ownership of your content; you retain all rights not expressly granted.
- Users must not upload or distribute content infringing third-party rights.
- Any paid content must be owned by you or you must hold all necessary licenses.
9. Governing Law & Jurisdiction
- These Terms are governed by the laws of Germany.
- For business users, the exclusive jurisdiction is the courts of Leipzig, Saxony.
- For consumers, mandatory local jurisdiction rules apply.
